Terms & Conditions

These terms govern use of our website and consultancy services.

These terms and conditions ("Terms") govern your use of the website operated by Kensington IT Limited (the "Site") and the IT consultancy, software development, data, AI and support services ("Services") provided by Kensington IT Limited ("Kensington IT", "we", "us" or "our"). By using the Site or engaging our Services, you agree to these Terms in full.

1. About Us

Kensington IT Limited is a private limited company incorporated in Hong Kong, with its registered office at 3906, 39/F, The Center, 99 Queen's Road, Central, Hong Kong.

We provide IT consultancy and managed services to clients internationally, including in Asia, Europe, the United Kingdom and North America.

2. Use of the Site

2.1 Permitted use

You may use the Site for your own personal and non-commercial use, or for the purpose of evaluating, instructing or being instructed by us in relation to our Services. You may not use the Site:

  • In any way that breaches any applicable local, national or international law or regulation;
  • To send, knowingly receive, upload, download or use any material which does not comply with our content standards;
  • To transmit any unsolicited or unauthorised advertising or promotional material;
  • To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code;
  • To scrape, copy or otherwise extract content from the Site for commercial purposes without our prior written consent.

2.2 Account access

Where you are granted access to client portals, dashboards or other restricted areas, you are responsible for keeping your login credentials secure. You must notify us immediately if you suspect unauthorised access. We may suspend or terminate your access at our discretion where we reasonably suspect misuse.

3. Our Services

Our Services include (without limitation): software and website development; database design, build and administration (including MS SQL Server); systems integration and automation; AI agent design, build and operation; IT support and managed services; and related advisory and training services. The specific Services to be provided in any engagement are set out in a written Statement of Work or Order Form ("SoW") agreed between us and the client.

These Terms supplement, but do not replace, any SoW or master services agreement we may enter into with you. Where a conflict arises, the SoW or master services agreement prevails.

4. Engagement & Fees

4.1 Engagement models

We offer three standard engagement models — Fixed-Fee Project, Monthly Retainer and Managed Service — as described on our Pricing page. The applicable model, scope, deliverables, milestones and fees are confirmed in a written SoW before work commences.

4.2 Pricing & currency

Indicative pricing is published on our Pricing page. Final pricing is confirmed per engagement. Our default invoicing currency is USD; alternative currencies (HKD, GBP, EUR and others) may be used by written agreement.

4.3 Invoicing & payment terms

Unless otherwise agreed in the SoW: Fixed-Fee Projects are invoiced 50% on commencement and 50% on completion; Monthly Retainers and Managed Services are invoiced monthly in advance; ad-hoc and overflow work is invoiced monthly in arrears. Standard payment terms are 14 days from invoice date. Late payment may attract interest at the rate permitted under applicable law and suspension of Services.

4.4 Change requests

Minor clarifications during a Fixed-Fee Project are absorbed at no additional charge. Material scope changes are documented in a written change order and quoted in advance.

5. Client Responsibilities

To enable us to deliver Services effectively, you agree to: provide timely access to systems, data, environments and people we reasonably require; ensure all information and content you supply is accurate, lawful and free of third-party rights restrictions; nominate a single point of contact empowered to make decisions; and review and approve deliverables within the timelines set in the SoW.

Delays caused by your failure to meet these responsibilities may result in revised timelines and, where applicable, additional fees.

6. Intellectual Property

6.1 Pre-existing IP

Each party retains ownership of intellectual property it owned or developed prior to or independently of any engagement (including, for us, our internal frameworks, templates, libraries and tooling — collectively "Kensington Tools").

6.2 Bespoke deliverables

Unless otherwise stated in the SoW, on full payment of all applicable fees, we assign to the client all right, title and interest in bespoke source code, configurations and written deliverables we create specifically for that client under the SoW. We retain a perpetual licence to use generic learnings, methods and know-how acquired during the engagement.

6.3 Kensington Tools

Where any deliverable incorporates Kensington Tools, we grant the client a perpetual, worldwide, royalty-free, non-exclusive licence to use those Kensington Tools as embedded in the deliverable for its internal business purposes.

6.4 Third-party components

Deliverables may include third-party open-source or commercial components. These are licensed under their respective terms, which we will identify in writing where material.

7. AI Services — Specific Terms

Where we deliver AI agents or AI-assisted automation as part of the Services:

  • Model selection. We will recommend appropriate underlying AI models (e.g. third-party LLM APIs). The client is responsible for accepting the third-party model provider's terms.
  • Data handling. We will document where client data is processed, by which providers, and with what retention. Where required, we will configure for zero-retention or on-region processing.
  • Outputs. AI outputs may contain errors, omissions or unexpected content. We will implement reasonable guardrails (validation, human review, audit logs) appropriate to the use case, but the client remains responsible for the use it makes of AI outputs and for any onward decisions taken based on them.
  • Usage costs. Third-party AI usage costs (LLM tokens, hosting) are typically charged to the client at cost plus a small management margin, as set out in the SoW.

8. Confidentiality & Data Protection

Each party will treat the other's confidential information in confidence and use it only for the purposes of the engagement. Personal data processing is governed by our Privacy Policy and any data processing agreement entered into between us. We comply with applicable data protection laws including the Hong Kong Personal Data (Privacy) Ordinance ("PDPO") and, where applicable to the engagement, the UK GDPR, EU GDPR and other regional data protection regimes.

9. Warranties & Acceptance

We warrant that Services will be performed with reasonable skill and care. For Fixed-Fee Projects, deliverables are deemed accepted on the earlier of (i) the client's written acceptance and (ii) 10 business days after delivery without written rejection, except for material defects in agreed acceptance criteria. We will remedy material defects identified during the 30-day post-launch warranty at no additional cost.

10. Limitation of Liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for fraud, gross negligence or wilful misconduct).

Subject to the above, our total aggregate liability to any client in connection with any single engagement shall not exceed the greater of (i) USD 25,000 and (ii) the total fees paid by the client to us under the relevant SoW in the 12 months preceding the event giving rise to the claim.

We will not be liable for any indirect, special, consequential or economic loss including (without limitation) loss of profit, loss of business, loss of opportunity, loss of goodwill or loss of anticipated savings.

11. Third Party Links

The Site may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of such sites and accept no responsibility for them or for any loss or damage arising from your use of them.

12. Privacy & Cookies

Our use of personal data is governed by our Privacy Policy and our use of cookies is governed by our Cookies Policy, which form part of these Terms.

13. Changes to These Terms

We may revise these Terms at any time. The current version will always be available on this page with the effective date stated at the top. Your continued use of the Site after any change constitutes your acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction over any dispute arising from or related to these Terms or use of the Site, save that we may bring proceedings against you in your country of residence where required to enforce our intellectual property rights.
